Terms for using PhaseFolio.

Public research stays citable. Product access stays governed. PhaseFolio remains decision support, not a substitute for professional review.

Acceptance

These Terms govern access to PhaseFolio public pages, research surfaces, verification endpoints, MCP/API interfaces, and authenticated product workflows. By using PhaseFolio, you agree to these Terms.

If your organization signs a separate enterprise agreement, order form, data-processing addendum, or confidentiality agreement with PhaseFolio, that written agreement controls where it conflicts with these public Terms.

Intended Use

PhaseFolio is decision-support software for biotech asset valuation, diligence, scenario analysis, and methodology verification. It is not medical, legal, tax, accounting, investment, fairness-opinion, or regulatory advice.

Outputs should be reviewed by qualified professionals before they are used in an investment committee memo, financing process, licensing negotiation, board material, or other consequential decision.

Accounts and Organizations

Authenticated access is issued to individual users and organizations. You are responsible for maintaining the confidentiality of your login credentials and for ensuring organization members are authorized to access the data they review.

PhaseFolio may suspend access if an account is used to attack the service, bypass authorization, scrape non-public data, or violate these Terms.

Customer Data

You retain rights to the asset assumptions, scenarios, evidence notes, uploaded context, and organization records you enter into PhaseFolio. PhaseFolio uses that data to operate, secure, support, and improve the service.

Do not enter Protected Health Information, patient-level data, personal health records, or other regulated clinical data into PhaseFolio. The product is designed for asset-level clinical and financial metadata, not patient data processing.

Public Research and Verification

Public methodology, backtests, benchmarks, and selected references are provided for transparency. They may be cited with attribution, but they should not be represented as independent third-party validation.

Signed-export verification confirms whether a supplied hash matches a PhaseFolio-issued artifact and its recorded version metadata. Verification does not certify that an investment thesis, scientific claim, or commercial forecast is correct.

Acceptable Use

  • Do not attempt to access another organization's data.
  • Do not probe, scan, or stress-test production systems without written approval.
  • Do not submit malicious files, prompts, payloads, or automated traffic.
  • Do not remove provenance, version stamps, citations, or verification metadata.
  • Do not use PhaseFolio to make unlawful, deceptive, or unsupported public claims.

Availability and Changes

PhaseFolio may change public pages, methodology pages, product workflows, API behavior, and access policies over time. Versioned methodology and signed-export records are preserved so already-issued exports can remain verifiable.

Public research is provided as a transparency surface. Authenticated product access is governed through research, design-partner, or enterprise relationships.

Disclaimers and Liability

PhaseFolio is provided on an as-available basis. To the maximum extent permitted by law, PhaseFolio disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.

PhaseFolio is not liable for investment losses, scientific decisions, financing outcomes, regulatory outcomes, or downstream uses of exported materials. Any liability that cannot be excluded is limited to the amount paid to PhaseFolio for the affected service in the previous twelve months, unless a separate written agreement says otherwise.
